SOLEIL TECH CO., LTD (hereinafter referred to as "we") is a UK-registered menswear brand company specializing in providing high-quality menswear products and related services to global customers. These Terms of Service (hereinafter referred to as "these Terms") are formulated in accordance with the EU Consumer Rights Directive, the UK Sale of Goods Act, and other applicable laws and regulations, clearly defining the rights, obligations, and responsibilities of us and our customers (hereinafter referred to as "you") in the provision and receipt of services, and protecting the legitimate rights and interests of both parties.

These Terms shall take effect from the date you submit an order and complete payment confirmation through the official website (soleilth.com), contact email (info@soleilth.com), or offline channels, or from the date you reach a service agreement with us, and apply to all menswear product procurement and related service matters between both parties. Please read these Terms carefully before using the services. If you have any objections to the content of these Terms, you should communicate with us for confirmation before placing an order; continuing to place an order or accept services constitutes your full understanding and agreement to abide by all the contents of these Terms.

I. Service Content and Scope

  1. Product Sales Service: We offer high-quality menswear sales, covering a full range of categories including business formal wear, casual commuting wear, and holiday attire. We ensure that products meet the specifications, quality, fabric, and appearance standards agreed upon in the order. Details are subject to the product display page or order confirmation information. We promise that all products undergo strict quality control and meet EU and UK menswear safety and quality standards.
  2. Order Fulfillment Service: We provide a full-process service including order receiving, review, sorting, packaging, shipping, and logistics tracking. We strictly adhere to our published "Transportation Policy" to ensure timely delivery (5-7 business days), transportation cycle (15-30 calendar days), and fulfillment standards.
  3. After-Sales Service: We provide after-sales services such as handling product quality issues, returns and exchanges, assistance with logistics anomalies, and response to inquiries. We strictly adhere to our "Return and Exchange Policy" (14-day cooling-off period) to protect your legal consumer rights.
  4. Service Limitations: We are only responsible for the quality of the products and services we provide and are not liable for any indirect losses you may incur due to your use of the products (such as impact on your outfit choices, social media reviews, etc.). For areas restricted by international logistics, subject to sanctions, or remote locations, direct shipping services may not be available; the scope of such coverage will be as informed upon order confirmation.

II. Rights and Obligations of Both Parties

(I) Our Rights and Obligations

  1. Rights: We have the right to request you to provide true, accurate, and complete information necessary for order fulfillment (such as size, shipping address, contact information, etc.); we have the right to suspend or terminate services if you fail to pay as agreed, provide incomplete or false information; we have the right to reasonably adjust service content, timeliness, and related policies according to business adjustments or updates to laws and regulations, and will notify you of such adjustments through our official website or email.
  2. Obligations: We will strictly adhere to these terms and conditions and the order agreement to provide qualified products and services, ensuring that the quality of menswear items matches the description and that sizing is compliant with standards; we will take measures such as encrypted storage and access control during the service process to protect your personal data and privacy, and strictly comply with the requirements of the Privacy Policy; we will respond promptly to your inquiries, complaints, and service requests, providing feedback on processing progress or results within 3 business days; we will provide order and logistics tracking services as agreed, ensuring you can understand the order status in real time.

(II) Your Rights and Obligations

  1. Rights: You have the right to require us to provide qualified products and services in accordance with these terms and conditions and the order agreement; you have the right to check order progress and logistics status, raise objections to problems arising during the service process and request proper handling; and, subject to the "Return and Exchange Policy," you have the right to a 14-day cooling-off period for no-reason returns and exchanges and after-sales protection for quality issues.
  2. Obligations: Pay the full amount according to the order agreement, including product costs, shipping fees, and any applicable customs duties, VAT, and other related charges; ensure the accuracy and completeness of the order and delivery information provided. You are solely responsible for any order delays, misdeliveries, or losses caused by incorrect information; check the product condition upon receipt of the package, and promptly retain proof of any discrepancies and inform us. Failure to provide feedback within the stipulated time will be considered as acceptance of the product; comply with these terms and all our published policies, and refrain from using our services for illegal, infringing, or third-party-related activities.

III. Order Fulfillment and Payment

  1. Order Confirmation: After you submit your order, we will review it within 2 business days to confirm inventory, product specifications, and payment information. The order will officially take effect upon approval. If the order information is incomplete or the inventory is insufficient, we will promptly communicate with you to make adjustments. The order will not take effect until an agreement is reached.
  2. Payment Requirements: All orders must be fully paid within 48 hours of submission. Orders not paid within this period will be automatically cancelled, and you will bear any resulting order processing costs (unless otherwise stipulated by laws and regulations).
  3. Order Changes: After the order takes effect, if you need to change the order details (such as size, quantity, or shipping address), you must notify us in writing before shipment. We will make every effort to accommodate the adjustments, but any additional costs incurred will be borne by you. Core order information cannot be changed after shipment; any related adjustments will be processed according to the return and exchange procedure.

IV. Intellectual Property and Limitation of Liability

(I) Intellectual Property

We own full intellectual property rights to our brand logo, product design, website content, promotional materials, and service processes. Without authorization, you may not use, copy, disseminate, alter, or use them for commercial purposes. You guarantee that you will not use our products for infringing advertising or illegal activities. You will be solely responsible for any intellectual property disputes arising from the use of our products.

(II) Limitation of Liability

  1. We shall not be liable for breach of contract if our service obligations are unable to be performed or delayed due to force majeure (including but not limited to earthquakes, floods, war, government actions, international logistics disruptions, network failures, etc.), but we will promptly notify you and take reasonable measures to mitigate your losses.
  2. We shall not be directly liable for service disruptions caused by third-party reasons (such as delays, damage, or loss by logistics providers, payment institution malfunctions, etc.), but we will actively assist you in communicating with the third party to protect your rights.
  3. In accordance with EU regulations, we are not liable for indirect losses, lost profits, or emotional distress arising from your use of the products or receipt of the services. Compensation is limited to the actual amount paid for the order and direct losses (unless otherwise expressly stipulated by laws and regulations).
  4. If product quality is substandard or service is breached due to our intentional act or gross negligence, liability for compensation will be executed in accordance with laws and regulations and the terms of this agreement to ensure your legitimate rights and interests are protected.

V. Amendment, Termination, and Dispute Resolution

(I) Amendment and Termination

  1. Any amendment or supplement to these Terms shall become effective only after being confirmed in writing by both parties or published on our official website. The amended Terms shall be binding on subsequent orders and services.
  2. These Terms may be terminated under the following circumstances: termination by mutual agreement; failure to rectify your breach of these Terms after our reminder, in which case we have the right to terminate the service and these Terms; automatic termination if these Terms cannot be performed due to changes in laws and regulations.
  3. After termination of these Terms, both parties shall perform their remaining obligations in accordance with the terms of the effective orders, and any rights and obligations already arising shall not be affected.

(II) Dispute Resolution

  1. Any dispute arising from the performance of these Terms shall first be resolved through friendly consultation.
  2. If consultation fails, either party shall have the right to bring suit in a court with jurisdiction in London, UK, or to file a complaint with the relevant personal data protection regulatory agency or consumer protection agency within the EU (applicable to customers within the EU).
  3. During the dispute resolution process, both parties shall continue to perform the other provisions of these Terms and Conditions, except for the disputed matters.

VI. Other

  1. Matters not covered in these Terms and Conditions shall be handled in accordance with the EU Consumer Rights Directive, the UK Sale of Goods Act, and our published Privacy Policy, Transport Policy, Returns and Exchange Policy, and other relevant documents. If there is any inconsistency between these Terms and Conditions and the relevant policies, these Terms and Conditions shall prevail.
  2. Order confirmation documents and communication records (including emails) between us and you are valid supplements to these Terms and Conditions and have the same legal effect.
